This document is an electronic record in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, that require the publication of rules and regulations, privacy policy, and Terms of Use for access or usage of marketplace platform, www.orgenikbulk.com (hereafter referred to as "Platform").

The Platform is provided, owned, and operated by Orgenik E-commerce Private Limited. Your use of the Orgenik Bulk and services and tools are governed by the following terms and conditions ("Terms of Use"). This Terms of Use govern Your access to and use of our platform and services. By use of the Orgenik Bulk, You shall be contracting with Orgenik E-commerce Private Limited. By using this Platform, You indicate your understanding and acceptance of these terms and all terms incorporated by reference. If You do not agree to Terms of Use, do not use the Platform. Please read the Terms of Use carefully before using the Platform. For the purpose of these Terms of Use, wherever the context so requires “You” or “User” shall mean any natural or legal person who has agreed to become a buyer on the Platform as Registered User. The term “Orgenik Bulk”,“We”,”Us”,”Our” shall mean Orgenik E-commerce Private Limited.

When You use any of the services provided by Us through the Platform, including but not limited to, (e.g. Product Reviews), You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such services. These rules, guidelines, policies, terms, and conditions are hereby incorporated by reference into these Terms of Use and shall be considered an integral part thereof. We reserve the right, at Our sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. It is Your responsibility to review these Terms of Use for updates/changes from time to time. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter, access and use the Platform.

ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE , SO PLEASE READ THE DOCUMENT CAREFULLY BEFORE PROCEEDING.

1) User Eligibility, Account, Security and Services:
1.1 To use Orgenik Bulk, You must be at least 18 years old and capable of entering into a legally binding agreement. By using Orgenik Bulk, you represent and warrant that you meet this age and legal capacity requirements. Users must create an account to access certain features of Orgenik Bulk. It is fully your responsibility to provide accurate and complete information during the registration/sign up/create an account process and to update such information to keep it up to date.

1.2 You are responsible for maintaining the confidentiality of your account information, including your password, and for all activities that occur under Your account. In case of unauthorized use or breach of security of Your account, We request You to change Your account password. You agree to notify Us immediately of any unauthorized use of Your account or any other breach of security including Your password and other sensitive information. We cannot and will not be liable for any loss or damage arising from Your failure to comply with these obligations.

1.3 If any information provided by You is found to be inaccurate, incomplete, or not current, or if We have reasonable grounds to suspect that such information is inaccurate, incomplete, or not current, We reserve the right to suspend or terminate Your account and refuse any and all current or future use of the Platform (or any portion thereof).

1.4 Your email address and mobile number are treated as the primary identifiers for You and Your account on the Platform. By providing these details, You agree to receive all necessary communications regarding Your account and transactions through these identifiers.

2) Platform Role and Transactional Terms:
2.1 Orgenik Bulk operates as a platform where Buyers and Sellers meet to conduct transactions. Orgenik Bulk acts solely as a facilitator and is not a party to any transactions between Buyers and Sellers. All contractual terms related to the purchase and sale of products are offered by and agreed to between Buyers and Sellers. Orgenik Bulk does not assume any responsibility for the contractual terms, performance, or fulfillment of the transactions.

2.2. The platform provides the infrastructure to support the exchange of products and information but does not guarantee the quality, safety, legality, or accuracy of the products listed for sale. It is the responsibility of the Buyers and Sellers to conduct their due diligence before entering into any transaction.

2.3 Orgenik Bulk is not responsible for unsatisfactory, delayed, or inadequate performance of services or any damages or delays resulting from products that are out of stock, unavailable, or back-ordered. 

2.4 Orgenik Bulk provides an online payment facility to enable the collection and receipt of payments for transactions conducted on the platform. However, Orgenik Bulk is not a banking or financial service provider. The payment services are facilitated by authorized banking infrastructure and payment gateways. By using the payment facility on Orgenik Bulk, You acknowledge that the payments are processed through third-party service providers, and Orgenik Bulk does not assume any liability for any issues arising from the payment process.

2.5 Orgenik Bulk reserves the right to modify, remove any product or any content from the Platform without any prior notice. 

2.6 Sellers retain the right to cancel orders under certain conditions, including but not limited to typographical errors, technical issues with the price or product information, or any discrepancies in product availability. If an order is canceled by the Seller for these reasons, the Buyer will be notified, and any payment made will be refunded in accordance with our Payments & Shipping policy.

2.7 By using Orgenik Bulk, You acknowledge and agree that:

• Orgenik Bulk is not a party to the contracts between Buyers and Sellers.
• Orgenik Bulk does not control or guarantee the quality, safety, or legality of the products listed.
• All transactional terms are determined and agreed upon by the Buyers and Sellers without involvement from Orgenik Bulk.
• Orgenik Bulk will not be liable for any disputes, claims, or damages arising from transactions between Buyers and Sellers.

2.8 Orgenik Bulk reserves the right to delete User data from Our records, including transactional data, if the User has not accessed the platform for a period of two (2) years. If such data is deleted, the User may not be able to access it again.

3) Communication:
3.1 By using Orgenik Bulk, You agree and understand that You are communicating with Orgenik Bulk through electronic records. These electronic communications are legally equivalent to written documents. You consent to receive communications from Us electronically. We will communicate with You by email, phone, or by posting notices on the Website or through other electronic means as deemed appropriate.

3.2 You agree that all agreements, notices, disclosures, and other communications that We provide to You electronically meet any legal requirement that such communications be in writing. You also agree to keep Your contact information, including email address and phone number, up to date to ensure that You receive all communications from Us without interruption.

3.3 Orgenik Bulk may contact You for purposes including but not limited to:

• Providing information related to Your account or transactions.
• Responding to Your inquiries or requests.
• Marketing and promotional communications, if You have opted in to receive them.

3.4 You acknowledge and agree that any communication from Orgenik Bulk through email, telephonic, or other electronic means will be considered as valid and legally binding as if they were in writing

4) Purchasing Products:
4.1 Orgenik Bulk offers the service of buying or purchasing products from various Sellers. Products can be purchased through various payment methods. The purchase of products is governed by specific policies, such as our Returns, Exchange, Cancellation, and Payments & Shipping policies. By making a purchase on Orgenik Bulk, You agree to comply with these policies and understand that they are incorporated by reference into these Terms of Use. It is Your responsibility to review these policies prior to completing a purchase.

5) Order Cancellation and Fraud Prevention:
5.1 Orgenik Bulk reserves the right to cancel any order at Our sole discretion. We may also limit or cancel quantities purchased per User or per order. This includes orders placed by the same account, and orders that use the same billing and/or shipping address.

5.2 If the contact or delivery information provided by the User is found to be inaccurate or incorrect, Orgenik Bulk reserves the right to cancel the order. Users are expected to provide accurate and complete information to ensure successful order processing and delivery.

5.3 Orgenik Bulk takes fraud prevention seriously and reserves the right to identify and take action against fraudulent Users. Activities considered fraudulent include, but are not limited to:

• Misuse of another person's phone number or email address.
• Users with excessive returns that are deemed unreasonable.
• Users returning the wrong product or products not matching the original order.
• Activities conducted with the intention to cause loss or damage to the business or revenue of Orgenik Bulk.

5.4 If a User is identified as engaging in fraudulent activities, Orgenik Bulk reserves the right to take necessary actions, which may include:

• Canceling orders.
• Suspending, Blocking, or Terminating the User's account.
• Reporting the fraudulent activity to the appropriate authorities.

5.5 Users are encouraged to maintain the integrity of their accounts and conduct transactions honestly. Orgenik Bulk is committed to ensuring a safe and reliable platform for all Users and will take appropriate measures to protect the interests of the platform and its Users.

6) Errors and Inaccuracies:
6.1 There may be information on the Platform that contains typographical errors, technical errors, or inaccuracies related to product descriptions, pricing, availability, and other details. While We strive to ensure that the information provided on Orgenik Bulk is accurate and up-to-date, errors may occur.

6.2 If You identify any errors or inaccuracies on the Platform, You are encouraged to contact Orgenik Bulk to have such information rectified. We appreciate Your assistance in maintaining the accuracy and reliability of the information on Our Platform.

6.3 Orgenik Bulk reserves the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice. This includes the right to cancel orders if any information on the Platform is found to be inaccurate, even after an order has been placed.

6.4 Users are responsible for verifying the accuracy of information before making a purchase. If an order is affected by an error, Orgenik Bulk will notify You of the issue and provide options to either proceed with the corrected information or cancel the order.

6.5 Orgenik Bulk is committed to providing a reliable and efficient service. However, We cannot guarantee that the Platform will be free from errors, interruptions, or delays. We reserve the right to make changes to the Platform's functionality and services to improve User experience, comply with legal requirements, or address technical issues.

7) Changes to Price, Stock, and Services:
7.1 Prices, stock availability, and all other product information on Orgenik Bulk are subject to change without prior notice at any time. 

7.2 Orgenik Bulk also reserves the right to modify, suspend, or discontinue any part of the service at any time without prior notice. This includes, but is not limited to, the availability of any product, feature, content, or the Platform. We are not liable to You or any third party for any modification, suspension, or discontinuation of the service.

7.3 In the event that a product You have ordered becomes unavailable after Your order has been placed, We will notify You and provide options, which may include canceling the order and issuing a refund.

8) Intellectual Property:
8.1 The platform is controlled and operated by Orgenik Bulk. The products listed on the platform are provided by independent Sellers. All content and materials available on the platform, including but not limited to text, graphics, logos, images, audio clips, video clips, digital downloads, data compilations, and other such materials are the property of Orgenik Bulk, or its licensors, or the respective Sellers, and are protected by intellectual property laws.

8.2 You may not use, reproduce, or distribute any content from the platform without prior written permission from Orgenik Bulk or the respective owners of the content. Unauthorized use of the content may violate copyright, trademark, and other laws, and Orgenik Bulk reserves the right to enforce its intellectual property rights to the fullest extent of the law.

8.3 By using the platform, You acknowledge and agree that:

• You are granted a limited, non-exclusive, non-transferable license to access and use the platform and its materials for personal, non-commercial use only.
• You may not copy, reproduce, modify, create derivative works from, distribute, transmit, display, perform, or otherwise exploit any of the content on the platform without prior written permission from Orgenik Bulk or the respective owners of the content.
• You may not use any meta tags or any other "hidden text" utilizing Orgenik Bulk's name or trademarks without the express written consent of Orgenik Bulk.
• All trademarks, logos, and service marks displayed on the platform are the registered and unregistered trademarks of Orgenik Bulk, or its licensors, or the respective Sellers. Nothing on the platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademarks displayed on the platform without the prior written permission of Orgenik Bulk or the respective owners.

8.4 Any unauthorized use of the platform and its content may result in termination of the limited license granted by Orgenik Bulk, and Orgenik Bulk reserves the right to seek all remedies available at law and in equity for such violations.

9) Limitation of Responsibility and Liability:
9.1 Products listed on Orgenik Bulk are offered by independent Sellers. Orgenik Bulk does not manufacture, or inspect any of the products sold through our platform. As a result, Orgenik Bulk takes no responsibility for the quality, safety, legality, or any other aspect of the products offered by Sellers. Any issues or disputes regarding the products must be resolved directly between You and the Seller.

9.2 Orgenik Bulk is not liable for any inaccuracies, errors, or omissions in the product listings, including but not limited to pricing, stock availability, product images, product descriptions, or any other product information. While We strive to provide accurate and up-to-date information from Sellers, it is ultimately the responsibility of the Sellers to ensure the accuracy of their listings. Therefore, it is Your responsibility to verify and research product information thoroughly before placing an order or making a purchase.

9.3 Orgenik Bulk disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the products will meet Your expectations or that any defects in the products will be corrected.

9.4 By using Orgenik Bulk, You acknowledge and agree that any reliance on the material or information provided by Sellers on the platform is at Your own risk. Orgenik Bulk will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with Your use of the platform or the products purchased through the platform, even if Orgenik Bulk has been advised of the possibility of such damages.

9.5 Orgenik Bulk does not guarantee that the platform will be available at all times or that access will be uninterrupted or error-free. There may be times when certain features, parts, or content of the platform, or the entire platform, become unavailable (whether on a scheduled or unscheduled basis) or are modified, suspended, or withdrawn by Orgenik Bulk, at our discretion, without notice to you. You agree that Orgenik Bulk will not be liable to you or to any third party for any unavailability, modification, suspension, or withdrawal of the platform, or any features, parts, or content of the platform.

9.6 Orgenik Bulk does not warrant that the information provided on the platform is complete, true, accurate, or non-misleading. While We strive to ensure that the information on the platform is correct, We do not warrant its completeness or accuracy; nor do We commit to ensuring that the platform remains available or that the material on the platform is kept up-to-date.

10) Indemnification:
10.1 You agree to indemnify and hold harmless Orgenik Bulk, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including Attorney’s Fees, arising from Your use of the platform or violation of these Terms.

11) Termination:
11.1 Orgenik Bulk reserves the right to suspend or terminate Your access to the platform at any time and for any reason, including violation of the Terms of Use without notice. Termination of Your account does not relieve You of any obligations to pay outstanding fees or charges.

11.2 Termination of Your account may include:

• Immediate Suspension or Deactivation: Your account and access to the platform will be immediately suspended or deactivated, preventing You from accessing Your account, or conducting any transactions.
• Notification of Termination: While Orgenik Bulk reserves the right to terminate Your access without notice, where possible, We will notify You of the termination, including the reasons for such action.
• Cancellation of Orders: Any pending or unfulfilled orders at the time of termination may be canceled at Orgenik Bulk’s discretion. If orders are canceled, You will be notified and any payments made for these orders will be refunded in accordance with our Payments & Shipping policy.
• Forfeiture of Benefits: Any benefits, credits, or promotional offers associated with Your account will be forfeited upon termination. You will not be entitled to any compensation for such forfeiture.
• User Responsibility: Upon termination, You must cease all use of the platform and any associated content. Any attempt to circumvent or re-register under a different name or account will be considered a violation and may result in further legal action.
• Data Retention: Orgenik Bulk may retain certain information and data associated with Your account for a period of time as required by law or for legitimate business purposes. This includes transaction history, communications, and other relevant data.
• Appeal Process: If You believe that Your account has been terminated in error, You may contact Orgenik Bulk customer support to appeal the decision. Orgenik Bulk will review Your case and make a determination at its sole discretion. The decision of Orgenik Bulk shall be final and binding.

11.3 By using Orgenik Bulk, You acknowledge and agree that Orgenik Bulk shall not be liable to You or any third party for any termination of Your access to the platform or for any consequences arising from such termination. You further agree to indemnify and hold Orgenik Bulk harmless from any claims or damages resulting from any actions taken by Orgenik Bulk during or as a result of its investigation and from any actions taken as a consequence of investigations by either Orgenik Bulk or law enforcement authorities.
